Terms of Service
These Terms are an agreement between you and NomaDamas ("we", "us"), based in South Korea, and govern your access to and use of Dazzi AI File Manager, including the website at https://api.dazziapp.com, the dashboard and the model API (together, the "Service"). By creating an account or using the Service you agree to these Terms, our Privacy Policy and our Acceptable Use Policy. If you do not agree, do not use the Service.
1. The Service
The Service provides authenticated access to third-party artificial-intelligence models (chat, embeddings and reranking) through an API compatible with the OpenAI Responses API, with usage limits and billing. We route your requests through OpenRouter to model providers we list in the dashboard and at GET /v1/models. The models available can change at any time.
2. Eligibility and accounts
- You must be at least 18 years old, or the age of majority where you live, and able to form a binding contract. If you use the Service for an organization, you confirm you may bind it.
- You must provide accurate information and keep your sign-in method secure. You are responsible for activity under your account and your API keys. You may hold up to 25 active API keys.
- One person or entity may not create multiple free accounts to obtain more free credits than the Free plan allows.
- Tell us promptly at security@dazziapp.com if you believe your account or a key has been compromised. You can revoke any key in the dashboard.
3. Plans, credits and limits
The Service is offered in plans. Current allowances at the effective date:
- Free: $0.50 of inference credit per week, 10 requests per minute.
- Air: $4 per month, $1.00 of credit per week, 60 requests per minute.
- Pro: $20 per month, $5.00 of credit per week, 240 requests per minute, and access to embeddings.
Credits are a dollar budget that resets each ISO week (Monday, UTC) and does not roll over. A request is charged at the cost reported by our provider after it completes. A request that is already running when you reach your limit will finish and may take your balance above the allowance; later requests are refused until the next period. Prices, allowances, limits and models may change; we will give you reasonable notice of changes that reduce a paid plan you have already purchased.
4. Paid subscriptions and payment
- Subscriptions are billed in advance and renew automatically each month until you cancel. You authorize us and our payment processor to charge your payment method.
- Our order process is conducted by our online reseller and merchant of record, Creem, which handles payment, applicable sales tax or VAT, and invoicing under its own terms.
- You can cancel at any time in the dashboard. A cancellation takes effect at the end of the paid period, and you keep paid access until then. See our Refund Policy.
- If a payment fails or is reversed we may downgrade your account to the Free plan.
5. Your content
You keep all rights in the prompts, files and other content you submit ("Input") and in the output the models return to you ("Output"), as between you and us. You give us a limited right to process Input and Output only as needed to run the Service, including transmitting it to OpenRouter and the model provider you select. We do not store Input or Output in our database and we do not use it to train models. You are responsible for your Input, for having the rights to submit it and for how you use Output.
AI models can produce incorrect, incomplete or offensive output and may reproduce similar text for different users. Review Output before relying on it, and do not rely on it for medical, legal, financial or other high-stakes decisions without qualified human review.
6. Acceptable use
You must follow our Acceptable Use Policy. You must also comply with the terms and usage policies of the model providers whose models you use. We may suspend or restrict access that we reasonably believe violates these rules or threatens the Service.
7. Our property
The Service, including its software, design and documentation, belongs to us and our licensors. We grant you a limited, revocable, non-exclusive, non-transferable right to use the Service under these Terms. Third-party models and services are subject to their own licenses. If you send us feedback, you grant us a free, perpetual right to use it.
8. Third-party services
The Service depends on third parties, including OpenRouter, the model providers it routes to, Creem, Resend, Vercel and Neon (see Subprocessors). We do not control them and are not responsible for their availability, accuracy or conduct.
9. Suspension and termination
You may stop using the Service and close your account at any time by emailing us. We may suspend or terminate your access, with notice where practical, if you breach these Terms, if required by law or a provider, or if your use creates risk or cost for us or others. On termination your right to use the Service ends; sections that by their nature should survive will survive.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE OR ANY OUTPUT WILL BE UNINTERRUPTED, ACCURATE, SECURE OR ERROR-FREE. We do not guarantee any uptime. Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM AND (B) US$50. These limits do not exclude liability that cannot be excluded by law.
12. Indemnity
You will defend and indemnify us against claims, damages and costs (including reasonable legal fees) arising from your Input, your use of Output, or your breach of these Terms or the Acceptable Use Policy, to the extent permitted by law.
13. Governing law and disputes
These Terms are governed by the laws of the Republic of Korea, without regard to conflict-of-law rules. The courts of South Korea have exclusive jurisdiction over disputes, except that either party may seek injunctive relief in any competent court and nothing here limits mandatory consumer-protection rights you have where you live. Before filing a claim, please contact us at legal@dazziapp.com and give us 30 days to resolve it informally.
14. Changes to the Service and these Terms
We may change the Service and these Terms. We will post the updated Terms with a new effective date and, for material changes, notify you by email or in the Service. If you keep using the Service after the effective date, you accept the changes. If you do not accept them, stop using the Service and cancel any subscription.
15. General
These Terms, with the policies they reference, are the entire agreement between you and us about the Service. If a provision is unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them in a merger or sale of the business. Neither party is liable for failures caused by events beyond its reasonable control, including outages of third-party providers.
